Terms of Services

1. Scope of Supply
   1.1. Material Supply Compliance: The supplier shall ensure complete and timely supply of all materials strictly in accordance with the quantities and specifications outlined in the bid document.
   1.2. Anti-Corruption & Ethical Conduct: Any bribe, commission, or undue advantage offered or promised by or on behalf of the bidder to any officer, employee, or servant of Pattabhi Agro Foods Pvt. Ltd. shall result in immediate disqualification from the E-Auction. Canvassing in any form, either directly by the bidder or indirectly on their behalf, shall render the bid liable for rejection.

2. Tender Submission Process
   2.1. Mode of Submission: All bids must be submitted through the designated PAFPL e-tender portal.
   2.2. Submission Deadline: Bids must be submitted on or before the closing date and time mentioned in the tender schedule. Late submissions will not be considered under any circumstances.
   2.3. Bid Format & Integrity: Bids must be submitted in the prescribed format without alterations. Any tampering, overwriting, or conditional offers may lead to disqualification.

3. Bid Evaluation Criteria
   All submitted bids shall be evaluated based on the following parameters:
   3.1. Price Competitiveness
   3.1.1. Comparison of quoted rates per metric ton (INR/MT).
   3.1.2. Overall cost-effectiveness, including applicable taxes and duties.
   3.2. Technical Compliance
   3.2.1. Adherence to product specifications and quality standards.
   3.2.2. Submission of required technical documentation and certifications.
   3.3. Delivery Capability
   3.3.1. Commitment to delivery timelines as per tender terms.
   3.3.2. Proven logistics infrastructure and supply reliability.
   3.4. Past Performance & Experience
   3.4.1. Track record with Pattabhi Agro Foods Pvt. Ltd. or other reputed organizations.
   3.4.2. History of timely deliveries, quality compliance, and contract adherence.
   3.5. Compliance with Tender Terms
   3.5.1. Acceptance of all terms and conditions without deviation.
   3.5.2. No conditional bids or unauthorized modifications to tender clauses.

4. Agreement Period / Validity
   4.1. Termination Rights: Pattabhi Agro Foods Pvt. Ltd. may terminate the agreement prematurely in case of non-performance, breach of terms, or operational exigencies, with prior written notice.

5. Delivery Condition & Freight Charges
   5.1. Delivery Standards: All consignments must be delivered in acceptable delivery conditions, strictly in accordance with the terms and specifications outlined in the agreement.
   5.2. Logistics Responsibility: The supplier shall bear full responsibility for all freight, transport, and handling charges.
   5.3. Delivery Timeline: Consignments must be delivered within 15 calendar days from the date of order confirmation or as specified in the purchase order.

6. Quality & Quantity Parameters
   6.1. Quality Standards: All supplied materials must conform to the technical specifications, grade requirements, and quality benchmarks outlined in the tender document or purchase order. Any deviation shall be subject to rejection.
   6.2. Inspection & Verification: Quality and quantity shall be verified at the time of receipt by the designated inspection authority. Pattabhi Agro Foods Pvt. Ltd. reserves the right to conduct random sampling, third-party testing, or laboratory analysis as deemed necessary.
   6.3. Rejection Criteria: Materials found to be substandard, adulterated, damaged, or non-compliant with specifications shall be rejected. The supplier shall bear all costs associated with removal, replacement, and re-inspection.
   6.4. Quantity Tolerance: Supplied quantity must match the ordered quantity within an acceptable tolerance limit of ±5%. Excess or short supply beyond this limit may be rejected or adjusted at Pattabhi Agro Foods Pvt. Ltd.’s discretion.

7. Payment Terms
   7.1. Quality Compliance: Payment shall be processed only upon successful quality verification of the consignment at the time of receipt.
   7.2. Release Timeline: Subject to quality approval, payment will be released within 15 bank working days from the date of receiving the goods.

8. Penalties & Termination
   8.1. Penalty for Delayed Delivery: If the supplier fails to deliver the materials within the stipulated timeline, a penalty of 1% of the order value per day of delay shall be levied.
   8.2. Penalty for Non-Compliance: Any deviation from the agreed specifications, quality standards, or agreement obligations shall attract penalties as determined by Pattabhi Agro Foods Pvt. Ltd., including rejection of goods and recovery of associated costs.
   8.3. Termination for Cause: Pattabhi Agro Foods Pvt. Ltd. reserves the right to terminate the Agreement with immediate effect in the event of:

* 8.3.1. Breach of tender terms or contractual obligations.
   * 8.3.2. Submission of false or misleading information.
   * 8.3.3. Involvement in unethical practices, including bribery or canvassing.
   * 8.3.4. Repeated delays or supply failures.

9. Dispute Resolution
   9.1. Any disputes, differences, or claims arising under this contract shall first be attempted to be resolved amicably through mutual discussion between the parties.
   9.2. If the parties fail to reach an amicable settlement within 30 days, the dispute shall proceed to arbitration.

10. Arbitration
    10.1. All disputes or differences which are not settled amicably shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.
    10.2. The arbitrator shall be appointed by the competent authority of the procuring entity. The decision of the arbitrator shall be final and binding on the parties.
    10.3. The venue of arbitration shall be at the headquarters of the buyer, i.e., the factory located at Valuthimmapuram Road, Peddapuram – 533437, Kakinada District, A.P.
    10.4. The arbitration proceedings shall be conducted in Telugu / English.
    10.5. Each party shall bear its own costs of arbitration, while the arbitrator’s fees shall be shared equally, unless otherwise decided in the award.

11. Rights of Authority
    11.1. Bid Acceptance & Rejection: Pattabhi Agro Foods Pvt. Ltd. reserves the absolute right to accept or reject any bid, in whole or in part, without assigning any reason. No claim or compensation shall be entertained on this account.
    11.2. Tender Modification & Cancellation: Pattabhi Agro Foods Pvt. Ltd. may modify, amend, or cancel the tender process at any stage without prior notice. Such decisions shall be final and binding on all participating bidders.
    11.3. Clarification & Verification: Pattabhi Agro Foods Pvt. Ltd. reserves the right to seek clarifications, verify documents, or request additional information from any bidder during the evaluation process.
    11.4. Agreement Award: Award of agreement shall be at the sole discretion of Pattabhi Agro Foods Pvt. Ltd., based on its internal evaluation, operational needs, and strategic considerations.
    11.5. Performance Monitoring: Pattabhi Agro Foods Pvt. Ltd. retains the right to monitor supplier performance throughout the agreement period and take corrective actions, including suspension or termination, if deemed necessary.
